ALADE CONSTITUTION AND BYLAWS

CONSTITUTION

 

 

ARTICLE I ~ Name

 

The name of this organization shall be Alabama Association for Developmental Education (hereinafter referred to as ALADE or “this Association”).

 

ARTICLE II ~ Purpose

 

The purpose of the Alabama Association for Developmental Education shall be to promote the following goals within the state of Alabama:

 

1.  To provide visibility and significance to learning assistance and developmental programs through a professional group in post-secondary education institutions;

 

2.  To promote support for learning assistance and developmental programming;

 

3.  To provide a means for identification and interaction with fellow professionals in learning assistance and developmental areas;

 

4.  To provide an informational channel for post-secondary learning assistance and developmental faculty;

 

5.  To assess, clarify and promote professional standards for learning assistance and developmental programs;

 

6.  To provide staff developmental activities for sharing of professional methods, techniques and strategies;

 

7.  To provide an arena for the discussion of local campus issues related to post-secondary learning assistance and developmental faculty;

 

8.  To identify and initiate solutions for issues and concerns rising from learning assistance and developmental services within post-secondary institutions;

 

9.  To be a spoken group for postsecondary learning assistance and developmental faculty on issues directly directing instructional programs; and

 

10.  To promote cooperation and communication between secondary and post-secondary institutions in the area of developmental education.

 

 

 

ARTICLE III ~ Affiliation

 

This Association shall be affiliated with the National Association for Developmental   Education (hereinafter referred to as NADE) and shall operate in harmony with the Association’s Constitution and By-Laws.

 

ARTICLE IV ~ Membership

 

Any individual engaged in remedial or developmental studies or otherwise interested in the purpose of this Association shall be eligible for membership. 

 

ARTICLE V ~ Governance Structure

 

1.  The ALADE Executive Board will consist of the President, President-Elect, Recording Secretary, Corresponding Secretary, Treasurer, a Two- and Four-Year representative, Newsletter Editor, and Immediate Past- President.

 

2.  Executive Board Powers:  The Executive Board shall have the responsibility and authority for interpreting and implementing policy actions adopted by the general ALADE membership at annual conferences and elsewhere.   It shall have the responsibility and authority for generating, interpreting, and implementing policies deemed necessary between annual conference and other expressions of membership, provided that such interim actions shall not abrogate the Constitution and Bylaws of the Association.

 

ARTICLE VI ~ Committees

 

1.  Nominating Committee ~ The nominating committee shall consist of the Immediate Past President, two At ~Large members chosen by the President, and two At~ Large members chosen by the other Executive Board Members.

 

2.  Membership Committee ~ The Membership Committee shall be chaired by the Two- and Four-Year representatives.

 

3.  Program Planning Committee ~ the Program Planning Committee shall be chaired by the President-Elect.

 

4.  Awards Committee ~ The awards committee will be chaired by the Immedaite Past President.

 

5.  Emeritus Council Committee ~ The Emeritus Council Committee will be chaired by the Immediate Past President.

 

6.  Other Committees ~ All other committees necessary for professional development of the Association shall be appointed by the President.

 

ARTICLE VII ~ Election Procedures

 

Officers shall be elected by a simple majority vote of the membership attending the State conference.  Any voting member of the Association may submit a petition to the Nominating Committee to place his/her name in nomination.  Members must meet the qualifications of the office.

 

ARTICLE VIII ~ Annual Conference

 

1.  An annual conference shall be held in the fall of each year.  Specified dates and locations shall be appropriate for maximum attendance.

 

2.  A meeting of the membership shall be held at the annual conference, with a quorum consisting of those members who are present.

 

Article IX ~ Amendments

 

Amendments to the Constitution and Bylaws may be made at any annual conference by a majority vote of the membership present, provided such proposed amendments have been prepared in written form and distributed to all the membership at least one month prior to the scheduled meeting.

 

 

 

BYLAWS

 

ALABAMA ASSOCIATION FOR DEVELOPMENTAL EDUCATION

 

ARTICLE I ~ Rules of Order

 

Roberts Rule of Order, Revised, shall guide the Association in all areas not in these Bylaws.

 

ARTICLE II ~ Dues

 

The annual dues of members and student members shall be reviewed each year and set by the Executive Board.  The fiscal year shall be from January 1 to December 31.

 

ARTICLE III ~ Duties of Officers

 

1.  President ~ Duties shall include acting as the executive officer for an academic year; presiding at professional developmental programs, meetings and in annual conference; promoting professional communication through newsletters and bulletins; appointing all committee members; and acting as an ex- officio member of all committees.  The President shall act at his/her own discretion in all situations he/she considers to be emergencies, subject to later discussion and action by the Executive Board, and otherwise implement the provisions of the Constitution and By-Laws.

 

2.  President-Elect ~ Duties shall include acting an executive officer in the absence of the President, chairing the Program Planning Committee for the annual conference, and preparing for the duty of president during the succeeding year.

 

3.  Recording Secretary ~ Duties shall include recording activities and actions of all Executive Board meetings and membership meetings.

 

4.  Corresponding Secretary ~ Duties shall include acting as mailing officer for all Association mailings.

 

5.  Treasurer ~ Duties shall include maintaining and reporting of all financial matters relating to the association such as depositing duties, distributing funds, planning budgets, and collecting dues.

 

6.  Newsletter Editor ~ Duties shall include compiling, editing and printing newsletters as directed by the Executive Board, and publishing the annual membership directory.

 

7.  Two- and Four-Year representatives ~ Duties shall consist of serving as Political Liaison Committee members and co-chairing the membership committee.

 

8.  Immediate Past President ~ Duties shall consist of advising current President of the Executive Board as a non-voting member on the Executive Board and chairing the nominating committee and the awards committee.    

 

ARTICLE  IV ~ Terms of Office  

 

1.  Each newly elected officer shall take office at the annual conference and shall serve for two (2) years. The President-Elect shall succeed into the Presidency upon completion of one (1) year. The President-Elect, Recording Secretary, Corresponding Secretary, Treasurer, and Two- and Four-Year representatives shall be elected bi-annually.  The terms of the Two- and Four-Year representatives should be staggered.

 

2.  Replacement and Impeachment of Officers: Officers who resign or are unable to serve due to death or prolonged illness during their term of office shall be replaced for the interim of that term by appointment of the President, with the concurrence of the Executive Board. An elected officer may be impeached by a two-thirds (2/3) vote of the membership upon recommendation of the Executive Board.

 

 

 

 

ARTICLE V.~ Governance Structure

 

1.    The elected officers of this Association shall be:

 

      a.  President

      b.  President-Elect

      c.  Recording Secretary

      d.  Corresponding Secretary

      e.  Treasurer

      f.  Two-Year Representative

      g.  Four-Year Representative

 

2.   The Executive Board shall consist of the following voting members:  President, President-Elect, Recording Secretary, Corresponding Secretary, Treasurer, Two-Year Representative, and Four-Year Representative.  The Newsletter Editor and the Immediate Past President shall serve as non-voting members of the Board.  The Newsletter Editor shall be appointed by the other elected Executive Board members.

 

3.    Committees for this Association shall be:

      a.  Nominating Committee (chaired by Immediate Past President)

      b.  Membership Committee (co-chaired by Two- and Four-Year representatives)

      c.  Program Planning Committee (chaired by President-Elect)

      d.  Political Liaison Committee (chaired by Political Liaison)

      e.  Awards Committee

      f.  Emeritus Council (chaired by Immediate Past President)

      g.  Cultural Diversity Committee (chaired by Cultural Diversity Liaison)

      h.  Professional Development Committee

      i.  Research Committee

      j.  Other committees
